Article Icon 1Wendy’s Rejects Buyout Bid

Dublin-based Wendy’s announced Thursday that it had rejected a $1.4 billion buyout from investor Nelson Peltz’s group, saying the offer undervalues the burger chain.

Peltz’s Trian Fund Management and its partners, including one of Wendy’s largest franchisees, had offered $7.35 per share in cash last month to take the company private.

Peltz called his proposal the best path for shareholders, citing pressure on consumers, rising competition, and inflation.

Wendy’s adopted a one-year “poison pill” plan allowing other shareholders to buy discounted stock if an investor reaches 15% ownership without approval. Peltz’s group already holds a 16.3% stake in Wendy’s.

The Ohio Department of Transportation will close I-90 in both directions through downtown Cleveland during two November weekends so crews can demolish bridges over the highway.

The stretch from Central Avenue to Carnegie Avenue will close Nov. 13-14, then again Nov. 20-23. The ramp from northbound I-77 to eastbound I-90 will also close, with traffic rerouted along Woodland Avenue.

The Cedar Avenue bridge will be removed permanently, while the East 22nd Street bridge will be rebuilt wider.

Dayton is auctioning off the stainless-steel Diner on St. Clair, with one major condition: The buyer has to take it with them.

The roadside eatery sits at 101 S. St. Clair St., near the Oregon District. The winning bidder must hire a licensed and insured transportation company to move it off the lot, and the online auction closes Nov. 30.

Dayton commissioners approved spending about $1.4 million in 2025 to buy the diner property and turn it into the police department’s future Central District Station.
